1. Acceptance of Terms

By accessing or using SMEE's services, including our website, mobile applications, software, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

2. Description of Services

SMEE provides a cloud-based appointment booking and business management platform designed for service-based businesses. Our Services include:

• Online appointment booking and scheduling
• Customer management and communication tools
• Staff management and scheduling
• Payment processing integration
• SMS and email notifications
• Business analytics and reporting

3. Account Registration

To use certain features of the Services, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 18 years old to create an account and use the Services.

4. Subscription Plans and Billing

SMEE offers various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to:

• Pay all applicable fees for your selected plan
• Provide valid payment information
• Authorize recurring charges for subscription renewals

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time, and you will continue to have access until the end of your current billing period.

We reserve the right to change our pricing with 30 days' notice. Price changes will take effect at your next billing cycle.

5. User Responsibilities

When using the Services, you agree not to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit any malicious code or interfere with the Services
• Attempt to gain unauthorized access to our systems
• Use the Services for any illegal or unauthorized purpose
• Collect or harvest user data without consent
• Send spam or unsolicited communications through our platform
• Misrepresent your identity or affiliation

6. Your Data

You retain ownership of all data you submit to the Services ("Your Data"). By using the Services, you grant SMEE a limited license to use Your Data solely to provide the Services to you.

You are responsible for:

• Ensuring you have the right to upload and use Your Data
• Obtaining necessary consents from your customers
• Maintaining appropriate backups of Your Data
• Complying with applicable data protection laws

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by SMEE and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

8. Third-Party Services

The Services may integrate with or link to third-party services, including:

• Payment processors (Stripe)
• Communication services (Twilio for SMS)
• Email delivery services
• Booking platforms (Google Reserve with Google)

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

9. Reserve with Google Integration

By using SMEE and enabling Reserve with Google (if available), you authorize SMEE to:

• Submit your business information (name, address, phone, hours of operation) to Google
• Submit your service catalog, pricing, and real-time availability to Google
• Accept appointment bookings on your behalf through Google Search, Google Maps, and other Google surfaces
• Process booking confirmations, modifications, and cancellations through Google's systems
• Share necessary customer booking information between SMEE and Google to fulfill appointments

You may opt out of Reserve with Google at any time through your SMEE dashboard settings. Upon opting out, we will remove your business information from Google's Reserve with Google platform within five (5) business days.

Bookings made through Reserve with Google are subject to Google's additional terms and policies. SMEE is not responsible for how Google displays or processes your business information on their platforms.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMEE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless SMEE and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• You remain liable for any amounts owed
• We may delete Your Data after a reasonable period

You may terminate your account at any time by contacting us or using the cancellation feature in your account settings.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and SMEE regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
